1. Introduction
These Terms and Conditions ("Terms") govern your access to and use
of the ZIDI app, website, and services provided by ZIDI MOBILITY
LTD. By registering accessing or using our services, you agree to
be bound by these Terms and our
Privacy policy.If you do not agree,
please discontinue use immediately.
Definitions

"User" means any person using the Platform,
whether as a renter or vehicle owner
-
"Renter" means a user who books or rents a
vehicle listed on the Platform.

"Vehicle owner" or "Owner" means a user who
lists or offers their vehicle for rental through the platform
-
"Booking" means a confirmed reservation for a
rental vehicle.
-
"Platform" refers to ZIDI's website, app and
all related digital services.
-
"Service Fee" means any fee ZIDI charges to
users for use of the Platform.
2. Eligibility and Registration
-
You must be atleast 23 years old and hold a valid Driver's
license accepted for use in Kenya by NTSA to rent a vehicle
-
By registering, you confirm all details you provide including;
ID, Driver's license and contact information are accurate.

ZIDI reserves the right to verify your identity, driving record
and other credentials before or during service use.

Vehicle owners, must ensure their vehicles listed on the
platforrm are
insured, roadworthy and legally owned or authorized for
rental
3. Platform Role
-
ZIDI provides an online marketplace connecting renters and
vehicle owners. We do not own operate or control the vehicles
listed. Each rental agreement is between the Renter and the
Vehicle Owner and ZIDI acts solely as an intermediary and
facilitator.

All users of our Platform must complete all our KYC vefication
steps to be able to list their car or rent one successfully
-
Vehicles on our platform must be verified and approved before
listing.
-
Owners receive payments after successful bookings, minus service
fees.
4. Booking and Payment Terms
-
Bookings are confirmed upon successful payment via approved
methods-Either via M-pesa or card- and successful confirmation
by the vehicle owner.
-
Payments made are processed through secure gateways intergrated
into ZIDI's systems.
-
All prices and fees are payable in Kenyan Shillings (KES), USD
and Euros and include applicable taxes unless stated otherwise.

ZIDI may deduct Service Fees and any applicable
taxes before remitting balances to vehicle owners.
-
Renters must ensure sufficient funds are available before
initiating payment.
5. Use of Vehicles
Renters must :
-
Use vehicles only for lawful self drive purposes within Kenya.
-
Comply with traffic laws and avoid reckless, negligent and
aggresive off-road driving.
-
Not sublet,resell or use the vehicle for commercial hire, racing
or illegal activity.
-
Return the vehicle at the same fuel and condition as received.
-
Inspect the vehicle thoroughly before accepting to start a trip
and take pictures of the car before using it.

Immediately report any accident, damage or mechanical issue to
the Vehicle owner and ZIDI.
Vehicle Owners Must:
-
Only list cars that they legally own or have a binding authority
to list the car on our Platform
-
Confirm bookings only when the availability of the Vehicle is
certain.
-
Provide vehicles in safe and roadworthy condition with valid
insurance and inspection certificates.
-
Maintain accurate listing information and promptly update
availability.
-
Keep record of the vehicles condition before and after every
rental.
-
Verify identity of the renter before rental and are encouraged
to have their own terms and conditions for renters to sign
before a rental trip begins.
6. Damages
-
Renter is responsible for
any damages, loss or traffic fines arising
during the rental period
-
In the event of damage occuring during the rental period, ZIDI
encourages both the Renter and Vehicle owners to resolve the
damages and charges amicably and in good time.
-
ZIDI is not liable for disputes arising from
the condition, use or performance of vehicles unless directly
caused by platform negligence.
7. Late returns and Penalties
-
A penalty of KES 500 per hour applies for
returns beyond the agreed time.
-
If a return delay results from breakdown or other justified
cost, renters must notify the vehicle owner and ZIDI
immediately.
-
Extended delaysnexceeding 12 hours without communication may be
treated as unauthorized possesion and reported
to authorities.
8. Cancellations and Refunds
By Renter:
-
The renter can cancel the booking request at anytime after
payment and before approval by the Vehicle owner. Cancelling
will avail the paid amount in the in-app wallet and the renter
can either withdraw the money to M-pesa or use it to make
another booking.

The renter can request cancelling of a booking already approved
by a Vehicle owner in the app or by contacting support. Upon
submittng the cancelling request and a detailed reason for
cancelling refunds if applicable will be wired to the mode of
payment used to make the booking.

Cancellations attract a
KES 500 fee per day once a booking is confirmed
by the Vehicle owner only if the cancellation is beyond 24 hours
before the start of the rental trip.The refunds minus the
cancellation fees will be processed within 24 hours.

No refunds for cancellations made
within 24 hours of rental start time.
By Vehicle Owner:

If a Vehicle owner cancels a booking ofter confirmation, the
renter receives a full refund and may be
eleigible for platform credits.
-
Repeated last-minute cancellations by both the renter and
vehicle owner may result in account suspension
9. Insurance and Risk
-
Vehicle owners maintain comprehensive insurance coverage for
their vehicles.
-
ZIDI shall not be responsible for accidents, injuries or third
party claims arising during rentals.
-
Renters agree to assume all associated risks and
responsibilities during the rental period.
10. Prohibited Conduct
Users must not:
-
Provide fase information, impersonate others or misuse personal
data
-
Tamper with vehicle trackers, safety systems or registration
plates.
-
Upload or transmit harmful software, spam or malicious content.
-
Violate Kenyan laws, including traffic, environmental and
anti-fraud regulations.
-
Attempt to reverse engineer, scrape or misuse the Platform.
11. Account Suspension and Termination
ZIDI may suspend or terminate a User account if:
- Fraudulent,abusive or unlawful activity is suspected
-
Repeated cancellations, unpaid fees or privacy violations occur.
- Required verifications or documents are maintained
Users may delete their accounts by contacting support via the app
and website, subject to settlement of pending obligations.
12. Intellectual Property
All rights in ZIDI's brand, logo, website ,app design and content
remain the property of ZIDI MOBILITY LTD. Users may not copy,
modify, distribute or exploit any content without written consent.
13. Privacy and Data Protection
Your data is collected and processed according to the
ZIDI Privacy Notice and the
Data Protection Act,2019 (Kenya). By using ZIDI,
you consent to such collection, processing and sharing of your
data as described therein.
14. Force Majeure
ZIDI is not responsible for any failure or delay in performance
caused by events beyond its reasonable control(including natural
disasters, wars, strikes, internet outages or government
restrictions)
15. Dispute Resolution and Governing Law
These Terms are governed by the laws of Kenya.
Incase of disputes,parties shall first attempt amicable resolution
through negotiation or mediation. If unresolved,
the dispute shall be submitted to the
courts of Kenya with jurisdiction in Nairobi or
any other major cities in Kenya.
16. Limitation of Liability
To the fullest extent permitted by law:

ZIDI is not liable for indirect, incidental or
consequential losses, injuries, or damages arising from rentals.

Our total liability shall not exceed the total service fees paid
to ZIDI for the booking transaction in question.

We do not guarantee uninterrupted or error-free operation of the
Platform.
17. Indemnification
You agree to indemnify and hold harmless ZIDI, its officers,
employees and partners from any claims, damages or losses
resulting from:
- Your breach of these Terms
- Your misuse of the Platform or vehicles
- Any third-party claim related to your use.
18. Modifications
We may modify and revise these Terms from time to time. Updates
will be posted on the website and continued use of the platform
constitutes acceptance of the new Terms.
19. Severability and Entire Agreement
If any provision of these Terms is found invalid, the remaining
provisions remain enforcable. These terms together with our
Privacy policy form the entire agreement between
you -the user- and ZIDI.
